(i) Particulars of organisation, functions and duties
Bharat Bhari Udyog Nigam Limited ("BBUNL") was incorporated on 17.09.1986. It is a
"Government company" within the meaning of Section 617 of the Companies Act, 1956. Its entire paid up and share capital comprising of 34,55,628 fully paid equity shares of 1,000 each as on 31.03.2008 is held by the Central Government viz. President of India.
The Registered Office of BBUNL is situated at 26, Raja Santosh Road, Alipore, Kolkata
- 700 027 and its Delhi Office at 26-A, Barakhamba Road, New Delhi
- 110 001.
BBUNL established under administrative control of the Ministry of Heavy Industries and Public Enterprises, Department of Heavy Industry of the Government. It is the holding company of four leading companies as 100% subsidiaries. The BBUNL Group is engaged in design, manufacture, supply, erection and commissioning a wide range of capital goods and turnkey projects required by the core sector industries such as Railways, Coalmines, Power, Petroleum and Oil together construction of highways and flyovers.

The major function of BBUNL is to co-ordinate, control and integrate the working of its subsidiary companies to secure optimum utilisation of their resources. BBUNL also executes the orders secured separately by it.
(ii) The powers and duties of its officers and employees
BBUNL is a commercial organisation. The powers of its Board of Directors are defined by its Articles of Association ("the Articles") which empower the Board to delegate, subject to the restrictions laid down in Section 292 of the Companies Act, 1956, any of the powers, authorities and discretions for the time being vested in them subject however, to the ultimate control and authority being retained by them.
The Board has in terms of the above empowerment delegated certain powers to the Chairman & Managing Director and functional Directors.
The powers and duties of the officers and employees of BBUNL at all levels are defined and duties assigned, by the Management from time to time as per needs of the organisation.
(iii) The procedure followed in the decision making process, including channels of supervision and accountability
The procedure of decision making is in conformity with the various statutes and regulations in force and applicable to BBUNL.
The Board of Directors is the ultimate decision making authority.
The functional Directors take decisions on such matters that are within their delegation of powers.
(iv) The norms set for discharge of its functions
Being a Government company, BBUNL follows the guidelines issued from time to time by the Ministry of Heavy Industries and Public Enterprises as well as the Central Vigilance Commission of Government of India
While discharging functions, the officers and employees are required to ensure compliance with the various provisions of applicable laws and regulations.
(v) The rules, regulations, instructions, manuals and records, held or under its control or used by its employees for discharging its functions
For discharging its functions, BBUNL has rules for conduct of business in various documents as under:
1. Memorandum and Articles of Association
2. Conduct Discipline and Appeal Rules
3. Accounting manual
4. Internal Audit manual
5. Other office rules.
(vi) Statement of the categories of documents that are held or under its control
BBUNL holds documents of commercial and technical nature (including all relevant data) relating to its business as well as that of its subsidiaries.
BBUNL also holds other documents/records required by respective statutes.
(vii) The particulars of any arrangement that exists for consultation with, or representation by, the members of the public in relation to the formulation of its policy or implementation thereof
BBUNL has interface with various Government Departments, Parliamentary Committees, etc. In addition, its website www.bbunl.com provides facility for addressing queries.
(viii) Statement of boards, councils, committees & other bodies consisting of two or more persons constituted as its part or for the purpose of its advice, and as to whether meetings of these boards, councils, committees and other bodies are open to the public, or the minutes of its meetings are accessible for public
No such board, council or committee has been constituted. However, BBUNL constitutes various committees from time to time to carry on the in-house operations. The related papers are not accessible to the public.

(x) The monthly remuneration received by each of its officers and employees, including the system of compensation as provided in its regulations
The monthly remuneration is governed by guidelines issued by the Department of Public Enterprises, Government of India. The pay scales are on Industrial DA pattern. Other benefits to officers and employees are as per Company's rules.
(xi) The budget allocated to each of its agency, indicating the particulars of all plans, proposed expenditures and reports on disbursements made
